These Terms of Service ("Terms") govern your access to and use of Dialect's website at dialect.nyc, our mobile or web applications, and any related products, content, or services (together, the "Services"). By accessing or using the Services, you agree to these Terms.

1. Who we are

The Services are operated by Dialect ("Dialect," "we," "us," or "our"). If you have questions about these Terms, contact us at hi@dialect.nyc.

2. Eligibility and acceptance

You must be at least 18 years old (or the age of majority where you live) to use the Services. By using the Services, you represent that you have the legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

3. The Services

Dialect provides marketing leadership, advisory, and related digital experiences through our website and apps. Features may change over time. We may modify, suspend, or discontinue any part of the Services without liability, except where prohibited by law or by a separate written agreement with you.

Separate statements of work, proposals, or client agreements may apply to paid engagements. If there is a conflict between those documents and these Terms regarding a paid engagement, the signed client agreement controls for that engagement.

4. Accounts and access

If the Services require an account, you are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us promptly of any unauthorized use. We may refuse, suspend, or terminate access if we reasonably believe these Terms have been violated.

5. Acceptable use

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose
• Interfere with or disrupt the Services, servers, or networks
• Attempt to gain unauthorized access to any systems, data, or accounts
• Scrape, harvest, or reverse engineer the Services except as permitted by law
• Upload malware or content that infringes others' rights
• Misrepresent your identity or affiliation

6. Tracking and analytics

You may not copy, modify, distribute, sell, or create derivative works from our content without prior written permission, except for ordinary personal or internal business use of publicly available pages as intended.

Feedback you send us may be used by Dialect without restriction or compensation.

8. Third-party services

The Services may link to or integrate third-party websites, tools, or platforms. We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIALECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIALECT AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DIALECT FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Dialect and its officers, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access to the Services if you violate these Terms or if we discontinue the Services. Sections that by their nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Except where prohibited, you agree that courts located in New York County, New York, will have exclusive jurisdiction over disputes arising from these Terms or the Services.

14. Changes

We may update these Terms from time to time. The "Last updated" date will change when we do. Continued use of the Services after an update constitutes acceptance of the revised Terms. If you do not agree, stop using the Services.
